User agreement for LoopWord

1. General

1.1 This agreement describes the rights and obligations of the customer and LoopWord (part of OnLine Translation, hereinafter referred to as “LoopWord”) in connection with the services provided by LoopWord via this website.
1.2 LoopWord is a translation tool owned by DEJS Holding ApS, transferred to LoopWord on a license basis.
1.3 When the customer signs up for LoopWord, the customer agrees to the terms of this agreement, and the customer confirms this agreement each time the customer uses LoopWord.

2. Terms of use of LoopWord

2.1 The Customer undertakes to register with LoopWord with their correct name, address and other information.
2.2 Companies that purchase a group license must appoint a group administrator who must create all users in the company in question and assign them passwords and user IDs. Likewise, only the group administrator can transfer terms and segments to the Public area.
2.3 A Group License belongs to one legal entity. Users from other legal entities cannot be assigned to it. However, external translators (freelancers) can be temporarily assigned to the group.

3. registration policy

3.1 LoopWord stores the customer’s master information in connection with the customer being created at LoopWord. Master information means name, address, email and account number. This information is stored as long as there is a customer relationship with LoopWord.
3.2 LoopWord is obligated under the Bookkeeping Act to retain documentation for all purchases of goods and services for five years. As a customer of LoopWord, the customer has the right to gain insight into the registered information at any time, however, LoopWord reserves the right to charge an administration fee in this connection.
3.3 All information provided by the customer to LoopWord will be treated confidentially and will not be disclosed to third parties.

4. Customer’s default

4.1 LoopWord reserves the right to suspend or terminate the agreement without notice if it is assumed that there has been a breach of the provisions of this agreement, including that false registration information has been provided or otherwise misused LoopWord.
4.2 In the event of the customer’s material breach of obligations under the subscription agreement, LoopWord is entitled to terminate the customer’s access to LoopWord without notice.

5. Responsibility

5.1 All copyrights, trademarks and other intellectual property rights regarding LoopWord are owned by DEJS Holding ApS and are licensed to LoopWord. The customer does not acquire any copyrights to LoopWord as a user.
5.2 LoopWord is liable for damages in accordance with the general rules of Danish law with the following limitations:

LoopWord is not liable for indirect losses, including lost profits and production losses.
LoopWord accepts no financial responsibility for erroneous translations.
LoopWord disclaims copyright responsibility for terms and segments – this is the responsibility of the user.
LoopWord’s liability cannot exceed the amount paid for the task in question.
5.3 LoopWord reserves the right to continuously implement new versions of LoopWord.

6. Safety and security

6.1 LoopWord is committed to the security of customer data and uses Hetzner Online GmbH as its hosting partner. The customer must protect their password and log out after use.

7. Earning rights for terms and segments

7.1 The user who first uploads a term or segment to Public area receives payment when others use it.
7.2 Selected users in the education sector can use the system without payment if it is part of teaching.
7.3 The earning right ends when the customer terminates the agreement.

8. Buying and selling terms and segments

8.1 LoopWord automatically creates a settlement account upon registration.
8.2 The user must pay on account in order to use the system. At a balance of 0, access is automatically closed.
8.3 Earnings are paid out for balances above DKK 1,200 (DKK 1,000 is transferred). For lower balances, amounts can be paid out for a fee.
8.4 Payment can be made via bank transfer. Any fees will be deducted from the account.
8.5 The User is liable for the use of others via their User ID.
8.6 Upon termination, the balance can be paid out for a fee of DKK 100.

9. Quality

9.1 Content in Public area must comply with quality requirements.
9.2 LoopWord may remove content that does not meet the requirements.
9.3 Repeated violations may lead to blocking.

10. Transaction information

10.1 Transaction data is stored and can be provided to the customer.
10.2 The data includes number of words per transaction type.

11. Ownership of terms and segments

11.1 The customer owns its terms and segments. Upon termination without export, ownership is transferred to LoopWord.

12. Support

12.1 Users with a full license have access to support.

13. New development

13.1 New features are continuously developed. Some are included in Support & Upgrade, others are sold separately.
13.2 LoopWord decides which features are included.

14. prices

14.1 The agreed price at order confirmation cannot be changed.
14.2 Prices for Support & Upgrade can be adjusted with general price development.
14.3 Extensions follow the current price list.

15. Termination

15.1 The customer may terminate the agreement in writing with 14 days notice before the end of the period.
15.2 LoopWord may terminate the agreement with one month’s notice.

16. force majeure

16.1 LoopWord is not liable for damages in circumstances beyond LoopWord’s control (e.g. server crashes, fire, war, strike, etc.).

17. Transfer of the subscription agreement

17.1 LoopWord may transfer the agreement to group companies or by business transfer.
17.2 The customer cannot transfer its rights or obligations.
